Terms and Conditions for Prominent Talents LLC Healthcare Staffing and Recruiting Services

Welcome to Prominent Talents, a leading provider of healthcare staffing and recruiting services. These Terms and Conditions (“Agreement”) govern the relationship between Prominent Talents (“we,” “our,” or “us”) and our clients (“Client,” “you,” or “your”) and candidates (“Candidate,” “you,” or “your”) who utilize our services. By accessing or using our services, you agree to be bound by the terms outlined in this Agreement.


1. Definitions

  • Healthcare Professional: A licensed individual who provides healthcare services, including nurses, doctors, allied health professionals, etc.
  • Healthcare Facility: A hospital, clinic, nursing home, or any other healthcare institution seeking staffing services.
  • Services: The staffing, recruitment, and related services provided by Prominent Talents LLC, including but not limited to placing healthcare professionals with healthcare facilities.

2. Services Provided

Prominent Talents LLC offers the following services:

  • Healthcare Staffing: We match qualified healthcare professionals with healthcare facilities that require temporary, permanent, or contract staff.
  • Recruitment Services: We assist healthcare facilities in recruiting qualified candidates by advertising job openings, conducting interviews, and handling candidate screening.
  • Consulting: We offer consulting services to healthcare facilities on workforce management, including staff scheduling and recruitment strategy.

3. Client Responsibilities

As a client using our staffing services, you agree to the following:

  • Provide Accurate Job Descriptions: You will provide accurate and detailed job descriptions, outlining the responsibilities, qualifications, and expectations for each role.
  • Compliance: You agree to comply with all applicable local, state, and federal regulations related to employment and healthcare staffing.
  • Timely Payment: You will pay for the services rendered by Prominent Talents LLC in a timely manner as specified in the Payment Terms section.

4. Candidate Responsibilities

As a healthcare professional seeking placement, you agree to the following:

  • Credentialing: You are responsible for ensuring that all your credentials, including licenses and certifications, are current and valid.
  • Accurate Information: You will provide truthful and accurate personal and professional information during the recruitment process.
  • Compliance with Facility Requirements: You agree to comply with all policies, procedures, and regulations of the healthcare facility to which you are placed.

5. Payment Terms

  • Fees: Our fees for staffing and recruitment services are based on the type of services provided. Clients will be informed of applicable fees before any services are rendered.
  • Payment Schedule: Payments are due within [X] days from the invoice date. Invoices will be issued upon the successful placement of a healthcare professional or after the completion of the staffing service.
  • Late Payment: A late fee of [X]% will be charged for payments not received within [X] days after the due date. We reserve the right to suspend services if payments are not made on time.

6. Confidentiality & Data Protection

We are committed to protecting your personal and professional information. We comply with all relevant data protection laws, including the Health Insurance Portability and Accountability Act (HIPAA), and take appropriate measures to safeguard confidential information. You agree not to disclose any confidential information shared during the staffing and recruiting process.


7. Non-Disclosure Agreement

Both the client and the candidate agree to maintain confidentiality regarding any proprietary information or confidential materials shared during the recruitment and staffing process. This includes but is not limited to financial information, hiring strategies, and candidate details.


8. Liability and Disclaimers

  • No Guarantee of Placement: While we strive to match qualified healthcare professionals with healthcare facilities, Prominent Talents LLC does not guarantee placement or specific performance outcomes.
  • Limitation of Liability: Prominent Talents LLC shall not be held liable for any indirect, incidental, or consequential damages arising from the placement or use of our staffing services. Our liability is limited to the fees paid for the services rendered.

9. Termination

  • Termination by Client: The client may terminate this Agreement by providing [X] days’ written notice. In the event of termination, the client remains responsible for any unpaid fees for services rendered up to the termination date.
  • Termination by Prominent Talents LLC: We reserve the right to terminate this Agreement at any time if we believe there has been a breach of these terms, or if payment is not received within the specified timeframes.

10. Compliance with Laws

Both parties agree to comply with all applicable local, state, and federal laws, including but not limited to employment law, healthcare staffing regulations, and any other laws governing the healthcare industry.


11. Dispute Resolution

Any disputes arising from this Agreement will be resolved through mediation/arbitration in the state of Wyoming. If mediation or arbitration fails, legal action may be taken in the courts located in Natrona County, Wyoming.


12. Changes to Terms

We reserve the right to modify these Terms and Conditions at any time. Any changes will be communicated to clients and candidates, and the updated terms will become effective immediately upon posting on our website. By continuing to use our services after such modifications, you agree to abide by the updated terms.

14. Miscellaneous

  • Force Majeure: Prominent Talents LLC will not be held liable for failure or delay in performance caused by events beyond our reasonable control, including but not limited to natural disasters, strikes, or governmental actions.
  • Governing Law: This Agreement shall be governed by and construed in accordance with the laws of the State of Wyoming, without regard to its conflict of law principles.
